Cutpace Terms of Service

Cutpace Terms of Service

1. Who We Are and Acceptance of Terms

Cutpace (the "Service") is operated by Excerpo LLC, a limited liability company organised under the laws of the State of Delaware, United States ("Excerpo", "we", "us"). Where these Terms of Service (the "Terms") say "Cutpace" as a party to an agreement, they mean Excerpo LLC.

By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18, or the age of majority in your jurisdiction if higher, to create an account. If you are using the Service on behalf of an organization, you confirm you have the authority to bind that organization to these Terms.

3. The Service

Cutpace provides an automated short-form vertical video editing service, including AI-assisted cutting, captioning, and format-specific export for social distribution. The automated edit is produced by software and machine-learning models from the material you upload; the result depends on that material, and you review it before publishing.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information when registering and keep it up to date. You can sign in with an email address or through a Google or Apple account; in that case the sign-in provider's own terms govern your account with them.

5. Subscriptions and Payment

Paid plans are billed in advance for the selected billing period, in the currency and by the payment method shown at checkout. Plan pricing is published on the pricing page. Unless you cancel before the renewal date, a subscription renews automatically for a further period at the then-current price. Before you pay, you see the amount, the billing period, that the subscription renews automatically and how to cancel it. Where a plan allows paid usage beyond its allowance, that usage is shown to you before you confirm it and is added as a line to your next subscription invoice.

Who sells you the subscription depends on the country you buy from. The checkout page names the seller before you pay.

  • Sales by Cutpace. In most countries, including the United States, the European Union and the United Kingdom, the seller is Excerpo LLC. Sales tax or VAT for your country is calculated on the checkout page and shown before you pay. Your card statement shows CUTPACE or EXCERPO, and the receipt comes from us.
  • Sales through Link. For a purchase where the checkout page names Link as the seller, the merchant of record is Sold through Link, LLC, a payment service of Stripe ("Link"). Link takes the payment and handles taxes, disputes about the payment and support with the payment, and Link's own terms apply to the payment in addition to these Terms. Your card statement shows LINK.COM followed by our name, and the receipt comes from Link, marked "Sold through Link".

In both cases you renew and cancel the subscription in your Cutpace account, in the Plan section of Settings. A subscription bought through Link can also be managed at link.com. Cancelling stops future charges, and access under the paid plan remains until the end of the current billing period.

Cutpace is responsible for the Service, how it works and how your data is handled under the Privacy Policy, whichever of the two sold you the subscription.

Refunds are described in the Refund Policy: the guaranteed refund is requested independently in the account, from the payment history. For a purchase through Link, Link may also review and refund the payment under its own rules.

6. Acceptable Use

You may not: upload content that infringes the rights of others or violates applicable law; upload material depicting a person without the right to use their likeness and voice in that way; attempt to disrupt, reverse-engineer, or circumvent the Service's security; use automated means to access the Service other than through interfaces we provide for that purpose; resell access to the Service; or use the Service to generate content intended to deceive or defraud others.

7. Content Ownership and License

You retain ownership of the material you upload and of the reels produced from it. You grant Cutpace a limited, non-exclusive, worldwide license to host, copy, transcribe, analyse and transform that material solely to provide the Service to you, for as long as the material is kept in your account. You represent that you have the necessary rights to the material you upload. We do not use your material to train models, ours or anyone else's; the Privacy Policy describes this commitment.

8. Cutpace's Intellectual Property

The Service, including its software, design, and trademarks, is owned by Excerpo or its licensors. These Terms grant you no rights in Cutpace's intellectual property beyond the right to use the Service as intended.

9. Copyright Complaints

If you believe material available through the Service infringes your copyright, write to [email protected] with: identification of the work; where the material is located in the Service; your contact details; a statement, made in good faith, that the use is not authorised by the rights holder, their agent or the law; a statement, under penalty of perjury, that the notice is accurate and that you are the rights holder or authorised to act for them; and your physical or electronic signature. We remove or disable access to material identified in a complete notice and notify the account that uploaded it. An account that repeatedly uploads infringing material is closed.

10. Termination

You may stop using the Service at any time. Account deletion is carried out on request to [email protected]. Cutpace may suspend or terminate your access for breach of these Terms, for non-payment, or where required to comply with applicable law; where reasonably possible we tell you the reason and give you the opportunity to export your reels.

11. Disclaimers and Limitation of Liability

The Service is provided "as is", without warranties of any kind. To the extent permitted by law, Cutpace's aggregate liability under these Terms is limited to the amount you paid for the billing period immediately preceding the event giving rise to the claim, and Cutpace is not liable for indirect, incidental, special or consequential loss, including lost profits, lost audience or lost data.

Nothing in these Terms limits liability that cannot be limited under applicable law. If you are a consumer in the European Union or the United Kingdom, you keep the rights that the mandatory consumer law of your country of residence gives you, and nothing in these Terms takes them away.

12. Indemnification

You agree to indemnify Cutpace against claims arising from your breach of these Terms or your misuse of the Service, to the extent permitted by applicable law.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules.

Before starting formal proceedings, write to [email protected] describing the dispute; we answer within 30 days and try to resolve it with you directly. If that fails, disputes are brought in the state or federal courts located in the State of Delaware, and you and Cutpace consent to their jurisdiction.

If you are a consumer in the European Union or the United Kingdom, this section does not deprive you of the protection of the mandatory law of your country of residence, and you may also bring proceedings in the courts of that country.

14. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy, the Refund Policy, the Cookie Policy and the pricing page, are the entire agreement between you and Cutpace regarding the Service. We may assign these Terms to a successor of the business; you may not assign them without our consent. Our failure to enforce a provision is not a waiver of it.

15. Changes to These Terms

We may update these Terms. The current version, its number and its effective date are shown on this page. For a material change we tell you in advance by email or in the Service and, where the change affects your rights or payments, ask you to accept the new version before you continue. Continued use of the Service after a new version takes effect constitutes acceptance of the updated Terms.

16. Contact

The Service is operated by Excerpo LLC, a Delaware limited liability company, United States. The company's site is excerpo.ai. For questions about these Terms and for all notices to us, contact [email protected].
